Terms of Service

MicroExits provides a platform for discovering and connecting buyers and sellers of startups and small online businesses ("Listings"). Unless we explicitly state otherwise in writing, we do not:

• act as a broker, agent, or representative for buyers or sellers,
• provide escrow services, or
• guarantee that any transaction will close or that any party will perform.

Any purchase, sale, or transfer of assets is between the buyer and the seller. You are responsible for obtaining professional advice (legal, tax, accounting) as needed.

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information and to keep your account information up to date.

• Authentication: you can sign in using email/password and/or Google sign-in (subject to availability).
• Security: you are responsible for safeguarding your credentials and for all activity under your account.
• Account restrictions: we may suspend or terminate accounts for violations of these Terms or for security/abuse reasons.

Sellers are responsible for the accuracy and completeness of Listing information (including financials, traffic, customers, and operations). Some Listings may be manually reviewed or marked as verified; others may be self-reported and not verified.

Verification does not mean endorsement and is not a guarantee of accuracy, quality, legality, or future performance. Buyers must conduct independent due diligence.

• Buyers: perform due diligence, keep seller information confidential as required, and comply with any agreed deal terms.
• Sellers: provide truthful Listing information, respond in good faith during due diligence, and comply with applicable laws (including IP and consumer protection rules where relevant).
• Both: you are solely responsible for negotiating and completing transactions and for using appropriate legal documentation (e.g., asset purchase agreement).

The Service may allow you to send messages and submit content ("User Content"), including through a chat feature. You retain ownership of your User Content.

You grant MicroExits a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display User Content solely to operate and improve the Service. You represent that you have the rights necessary to submit the User Content and that it does not violate any law or third-party rights.

• 0% commission: MicroExits does not charge commission on successful transactions between buyers and sellers.
• Buyer subscriptions: certain buyer features may require a paid subscription. Subscription terms, pricing, and renewal are shown at checkout.
• Payments: subscription payments are processed by Stripe. Your use of Stripe is subject to Stripe’s terms and privacy policy.

We do not provide escrow. Any payments between buyers and sellers for a transaction are handled separately by the parties.

You agree not to:

• post false, misleading, fraudulent, or unlawful Listings or messages,
• infringe intellectual property or confidentiality rights,
• harass, spam, scrape, or attempt to circumvent security measures,
• use the Service to distribute malware or attempt unauthorized access,
• use the Service for illegal activities or to launder funds.

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the accuracy of Listings or communications, the success of any transaction, or the conduct of any user.
